Terms and Conditions for Membership in the Luxembourg Business Angels Network
1. Luxembourg Business Angel Network (“LBAN”) via its initiative and networking activities, have set up a forum whereby companies seeking capital and/or management expertise (”Entrepreneurs”) from experienced businessmen (”Business Angel”) are able to participate in the Network.
2. LBAN will, as administrator of the forum, arrange events at which Entrepreneurs and Business Angels can network and discuss potential opportunities. LBAN gives no guarantee of a successful outcome to the Business Angel.
3. LBAN reserves the right, at any time and at its sole discretion, to decide that the Business Angel is not suitable as a participant in the network. The Business Angel has no right to appeal or dispute any such decision.
4. The Business Angel accepts that LBAN is not liable to the Business Angel for any cost, damage or liability in relation to, or loss caused by or as a result of the membership of the network.
5. LBAN makes no offer, representation, guarantee or solicitation on behalf of the Entrepreneur and makes no claim as to the quality of any Entrepreneur or the suitability of any commercial or financial arrangement with the Entrepreneur.
6. The Business Angel accepts and agrees that any decisions made by it during and/or as a consequence of, its participation in the Luxembourg Business Angel Network will be its sole responsibility for which it accepts full liability.
7. LBAN advises any Business Angel to seek appropriate independent professional advice before entering into any financial or commercial arrangement with the entrepreneur. In particular, all due diligence procedures are the sole responsibility of the Business Angel.
8. The business angel will keep confidential any information received or obtained as a member of LBAN, concerning entrepreneurs and their projects. I accept that the projects presented to me by LBAN are the intellectual property of the entrepreneur.
9. The Business Angel agrees to pay all membership dues, as and when they apply, within 10 days of notification of same, in accordance with Article 28 of the LBAN internal rules.
10.The Business Angel agrees to abide by the LBAN Code of Conduct. It is understood, that if the Business Angel breaches the Code of Conduct, LBAN reserves the right to terminate the membership with immediate effect.
11.The Business Angel agrees that 5% of any amount invested in an entrepreneur’s project as a result of an introduction effected by LBAN’s activity, whether through an Investment Forum or otherwise, shall be payable
to LBAN.

Angel Network (LBAN) differs from investment in other products. If you wish to
become a Business Angel, it is important that you understand and accept the
following:
- that a high degree of risk may attach to investments,
- it may be difficult to sell your investment,
- that returns, if any, from investments may be deferred and irregular,
- neither the LBAN nor any LBAN Administrator is responsible for information
which is provided to Business Angels about investment in any business.
